Terms of Service

1. Acceptance of Terms

By accessing and using HaulIQ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any portion of these Terms, you may not use the Service. Your use of the Service constitutes your acceptance of these Terms.

2. Description of Service

HaulIQ is a Software-as-a-Service (SaaS) transportation management system powered by artificial intelligence. The Service is owned and operated exclusively by Strata Immersive LLC (Illinois LLC).

Service Features

• Seven AI agents for autonomous fleet management (dispatch, compliance, finance, support, analytics, recruitment, and growth)
• 12 AI intelligence engines for document processing, voice calls, profitability scoring, and fleet analytics
• Document intelligence for 32+ document types (rate confirmations, certificates of insurance, motor vehicle records, invoices, inspections)
• AI voice call capabilities for inbound/outbound communications
• Broker CRM with auto-population from rate confirmations
• Bank integration via Plaid for real-time cash flow tracking
• Load profitability scoring and autonomous dispatch assignment
• Email-to-invoice automation pipeline

Bring Your Own API Key (BYOK) Model

HaulIQ operates on a BYOK model. Users must provide their own API keys for third-party services including Anthropic (for Claude API), Plaid (for bank integration), and other integrations. Users are solely responsible for obtaining, managing, and paying for their own API keys and maintaining their associated accounts.

3. Account Registration

To use HaulIQ, you must create an account by providing accurate and complete information, including your name, company name, email address, and other information as requested. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access to your account
• Being legally authorized to enter into these Terms on behalf of yourself or your company

4. Subscription & Payment

HaulIQ offers tiered subscription plans:

Pricing Tiers

• Starter Plan: $49/month — Up to 3 trucks, all 7 AI employees, document intelligence, load management, invoicing, and broker CRM auto-population
• Professional Plan: $149/month — Up to 25 trucks, everything in Starter plus AI voice calls, bank integration, profitability scoring, and analytics dashboards
• Enterprise Plan: Custom pricing — Unlimited trucks, self-hosted telephony, custom integrations, dedicated account manager, and SLA guarantee

Payment Terms

• All prices are in USD and billed monthly in advance
• Payment is due on the date shown on your invoice
• Renewal is automatic unless you cancel your subscription before the renewal date
• Failed payments may result in service suspension after 5 business days' notice
• No refunds are provided for partially used months
• You may cancel at any time; cancellation takes effect at the end of your current billing period

5. Intellectual Property Rights

HaulIQ Domain and Brand

Your Content

You grant HaulIQ a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and store any data, documents, or content you upload to the Service ("Your Content") for the purpose of operating and improving the Service. This includes using Your Content to train, tune, and improve AI models used within HaulIQ.

Restrictions

You may not reverse engineer, decompile, or attempt to derive the source code of the HaulIQ platform. You may not use the Service to develop competing products or services.

6. User Data

Data Ownership

You retain ownership of all data you input into HaulIQ, including documents, load information, driver records, and financial data. Upon account termination, you have 30 days to export your data; after 30 days, we may permanently delete all Your Content.

Data Usage

• HaulIQ processes Your Content to deliver the Service
• Your Content is used to improve and optimize AI agents and intelligence engines
• Aggregated, anonymized data may be used to analyze industry trends and improve the Service
• Your Content is not shared with third parties except as required by law or as necessary to provide third-party integrations you select

Security

HaulIQ implements industry-standard security measures including encryption, access controls, and regular security audits. However, no system is 100% secure. You acknowledge the inherent risks of data transmission and storage online.

7. AI Features & Disclaimers

AI Output Limitations

• AI agents may make errors in profitability calculations, load assignments, compliance recommendations, or other determinations
• AI voice calls may not recognize all accents, dialects, or speech patterns accurately
• Document intelligence may misclassify or fail to extract data from non-standard documents
• AI recommendations should never be treated as a substitute for professional legal, financial, or compliance review

Compliance Responsibility

While HaulIQ monitors for compliance deadlines (FMCSA violations, insurance expiry, CDL renewals, IFTA permits), you remain solely responsible for ensuring your company complies with all federal, state, and local regulations. HaulIQ alerts are informational only and do not constitute legal advice or guarantee compliance.

Load Acceptance and Dispatch

HaulIQ calculates load profitability scores using a cost model that includes fuel, insurance, lease, maintenance, driver pay, tires, permits, factoring, and overhead. These calculations are based on estimated costs and may not reflect your actual costs. You retain final authority to accept or reject any load recommendation.

8. Prohibited Uses

You agree not to use HaulIQ for:

• Illegal activities or in violation of any law, regulation, or third-party rights
• Fraud, deception, or misleading practices
• Harassment, abuse, or threatening conduct toward any person
• Accessing the Service using automated tools, bots, or scraping without authorization
• Attempting to gain unauthorized access to HaulIQ systems or other users' accounts
• Transmitting malware, viruses, or other harmful code
• Interfering with the Service's operation or security
• Using the Service to develop a competing transportation management system

Violation of these prohibited uses may result in immediate account suspension and legal action.

9. Third-Party Integrations

HaulIQ integrates with third-party services including Anthropic (Claude API), Plaid, DAT, Truckstop, and others. Your use of these integrations is governed by their respective terms of service and privacy policies. HaulIQ is not responsible for:

• The availability, accuracy, or security of third-party services
• Any fees, changes, or discontinuation of third-party services
• How third parties use your data in accordance with their privacy policies

You are solely responsible for obtaining and maintaining your own API keys and accounts with third-party providers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• HaulIQ IS PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED
• In no event shall Strata Immersive LLC be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost data, business interruption, or reputational harm
• Your total liability cap against Strata Immersive LLC shall not exceed the fees you paid in the 12 months preceding the claim
• These limitations apply regardless of the form of action (contract, tort, strict liability, or otherwise) and whether we have been advised of the possibility of such damages

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability; in those jurisdictions, liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Strata Immersive LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of HaulIQ
• Your violation of these Terms
• Your violation of any law or third-party rights
• Any disputes with your customers, drivers, brokers, or other third parties related to HaulIQ usage

12. Termination

Termination by You

You may cancel your subscription at any time by accessing your account settings or contacting us. Cancellation is effective at the end of your current billing period. No refunds are issued for partial months.

Termination by HaulIQ

Strata Immersive LLC may terminate your account immediately if:

• You violate any material provision of these Terms
• You engage in illegal activity or use HaulIQ for prohibited purposes
• You fail to pay your subscription fees after 5 business days' notice
• Continuing to provide service would violate applicable law

Effect of Termination

Upon termination, your access to HaulIQ is immediately revoked. You have 30 days to export your data; after 30 days, all Your Content is permanently deleted. Payment obligations for services rendered prior to termination remain due.

13. Governing Law

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Cook County, Illinois. Each party shall bear its own attorneys' fees and costs, and the parties shall split the AAA administrative fees equally.

Exception

Notwithstanding the arbitration clause, Strata Immersive LLC may seek injunctive relief in any competent court to prevent irreparable harm from intellectual property infringement or breach of confidentiality.

14. Modifications to Terms

Strata Immersive LLC reserves the right to modify these Terms at any time. Material changes will be announced via email at least 30 days in advance. Your continued use of HaulIQ after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription before the effective date.
